Terms of Service

These Terms are provided in good faith and are current as of the date above. A dedicated legal/privacy inbox and a named Grievance Officer are being finalised; until then, please use the support address below.

These Terms of Service ("Terms") govern your access to and use of the Janiva service (the "Service"), operated by Janiva Digital Solutions ("Janiva", "we", "our", or "us") at https://janiva.bot and https://pa.janiva.bot. By accessing or using the Service, or by subscribing to a plan, you ("you" or the "Customer") agree to these Terms on behalf of yourself and the organisation you represent.

1. Account and eligibility

To use Janiva you must be at least 18 years old, capable of forming a binding contract, and you must use the Service for business purposes. You are responsible for keeping your account credentials secure and for every action taken under your account, including by your team members. Notify us promptly at [email protected] if you suspect unauthorised access.

2. The Service

Janiva is a WhatsApp-first AI business assistant. Features include multi-company accounting (ledgers, cost-centres, per-company reports), GST invoicing with Tally export, a CRM, virtual-number provisioning and management, a shared WhatsApp inbox, social publishing to Instagram and Facebook with a review queue, a website builder, and task delegation with WhatsApp follow-ups. We may add, modify, or remove features over time.

3. Billing and plans

  • Janiva is offered on paid quarterly plans; there is no free plan. You can book a demo before subscribing.
  • Annual billing may be offered in-app after your first quarter.
  • INR prices exclude 18% GST, which is added at checkout. Prices billed in USD are treated as an export of service.
  • Payments are processed through our payment provider, Razorpay. By subscribing, you also agree to Razorpay's applicable terms.
  • Subscriptions auto-continue and renew for successive periods until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • We do not provide pro-rata refunds for partial periods or unused features, except where a refund is required by applicable law.
  • We may change prices, plans, and limits for future periods with prior notice; changes do not affect the period you have already paid for.
  • Plan limits (companies, seats, numbers, usage) may be enforced, and exceeding them may require an upgrade.
  • If payment fails or amounts remain unpaid, we may attempt to collect (dunning) and may suspend and then terminate your access until the account is brought current.

4. AI features & your responsibility

Janiva uses third-party AI/LLM providers to interpret your instructions and to draft invoices, replies, posts, summaries, computations, and similar output. AI output may be inaccurate, incomplete, or out of date, and is not professional, legal, tax, accounting, or financial advice.

You must review and verify all AI-generated output before relying on it — including, without limitation, invoices, GST computations and returns, ledger entries, and Tally exports. Janiva is a tool; you remain solely responsible for your own statutory, tax, and GST compliance and filings, and for the accuracy of any records you approve and any messages or posts you publish. 5. Acceptable use & messaging compliance

Because Janiva sends messages on your behalf, you are solely responsible for the content and lawfulness of every message sent via the Service. You agree that you will:

  • Comply with the WhatsApp Business Messaging Policy, Meta's terms, and the terms of any other connected provider, including sending limits and quality requirements.
  • Obtain valid recipient opt-in / consent before messaging contacts, and promptly honour opt-out requests.
  • Send no spam, scams, harassment, or unlawful, deceptive, or infringing content.

You further agree not to:

  • Violate any connected provider's terms of service, policies, or sending limits.
  • Attempt to reverse-engineer, decompile, or otherwise extract source code from the Service.
  • Store or transmit malware, or interfere with another party's use of the Service or its security.
  • Resell or sublicense the Service without our written agreement.
  • Scrape, mass-download, or use automated means to extract data beyond documented limits.
  • Use the Service to create false, misleading, or non-compliant financial or tax records.

We may suspend or terminate accounts that violate these rules, with or without notice depending on severity.

6. Customer Data & intellectual property

Data you upload or that flows through Janiva on behalf of your business and your contacts ("Customer Data") belongs to you. You grant us a limited, non-exclusive, worldwide licence to host, process, transmit, display, and back up that data solely as needed to provide and secure the Service, and to create aggregated and de-identified analytics that do not identify you or any individual. As between us, you are the Data Fiduciary (Controller) and we act as your Data Processor for Customer Data; our handling of personal data is described in our Privacy Policy and our Data Processing Addendum, available to business customers on request.

You represent that you have all rights and consents necessary to collect and process the Customer Data and to message your contacts through the Service. The Service itself — including its software, design, branding, documentation, and AI prompts — is the intellectual property of Janiva Digital Solutions. "Janiva" and related logos are our marks. You receive a limited, non-exclusive, non-transferable licence to use the Service while your account is in good standing. If you give us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them to improve the Service.

7. Third-party services and integrations

The Service interoperates with third-party services you choose to connect or that we use to deliver the Service — for example WhatsApp Business via Meta, Instagram, Facebook, Razorpay, Microsoft, Google, and AI providers (Anthropic, OpenAI, Google, OpenRouter). Your use of those services is governed by their own terms, and you are responsible for your own accounts and credentials with them. We are not responsible for the availability, accuracy, or actions of third-party services.

8. Availability and support

We aim for high availability but make no formal uptime or service-level commitment, except where a separate Enterprise SLA is agreed with you in writing. Email support is available at [email protected] during business hours (IST). Planned maintenance is announced where practicable.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, error-free, or completely secure. AI-generated output is not professional accounting, tax, legal, or financial advice.

10. Limitation of liability

To the maximum extent permitted by law, in no event shall Janiva Digital Solutions, its affiliates, partners, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost revenue, lost data, loss of goodwill, or business interruption — arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the fees attributable to the unused (remaining) months of your then-current subscription term as at the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Indemnity

You agree to indemnify, defend, and hold harmless Janiva Digital Solutions and its affiliates, partners, officers, employees, and agents from and against any third-party claim, demand, loss, liability, or expense (including reasonable legal fees) arising from your Customer Data, the messages and content you send or publish through the Service, your use of the Service, or your violation of these Terms or of any applicable law.

12. Term and termination

These Terms apply from the moment you create an account and continue until terminated. You may terminate by cancelling your subscription (effective at the end of the current period). We may suspend or terminate your access if you breach these Terms, fail to pay amounts due, or where required by law, with notice where practicable. Upon termination, your right to use the Service ends. We will make your Customer Data available for export for a reasonable window after termination, after which we retain or delete it as described in our Privacy Policy and as required by law. Provisions that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnity, and governing law) will survive.

13. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced in the Service and dated above. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

14. Governing law & jurisdiction

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Bengaluru, Karnataka.
